Talentify Partners Pty Ltd

 

  1. Engagement Overview

The Client hereby engages Talentify Partners Pty Ltd (“Talentify Partners”) to provide recruitment services, including but not limited to the sourcing and supply of permanent employees, fixed-term contractors, and temporary staff (“Candidates”). Talentify Partners provides these services under the Client’s direction. These Terms are deemed accepted by the Client upon:

The Client requesting, interviewing, or engaging a Candidate introduced by Talentify Partners; or

The Client disclosing any Candidate information to a third party.

These Terms override any conflicting terms and conditions provided by the Client.

 

We provide the following Recruitment Services:

Permanent Recruitment

Fixed-Term Recruitment

Temporary Recruitment (On-Hire Contractors)

 

  1. Permanent Recruitment – Placement Fee

If a Candidate introduced by Talentify Partners is offered employment or engaged in any capacity by the Client (or related entity) within twelve (12) months of introduction, a placement fee is payable. This applies whether or not the Candidate is initially engaged for the discussed role.

Fees are calculated based on the total remuneration package, including salary and superannuation.

Fees for part-time engagements are charged at the full-time equivalent rate.

Invoices are issued on the Candidate’s commencement date and are payable within fourteen (14) days.

 

  1. Permanent Recruitment Engagement Models

Talentify Partners offers three engagement options for permanent recruitment. Fees are calculated based on the Candidate’s total Annual Salary Package, which includes base salary and superannuation. All fees are exclusive of GST.

3a. Retained Assignments (Option A) Retained assignments are split into three non-refundable instalments:

One-third on execution of the engagement;

One-third upon submission of candidate shortlist;

Final third upon candidate acceptance of an offer of employment.

A 24-week replacement guarantee applies.

3b. Exclusive Assignments (Option B) Assignments are outsourced solely to Talentify Partners. The Client must refer all candidates—including those sourced internally or via third parties—to Talentify Partners during the exclusivity period. A 12-week replacement guarantee applies.

3c. Contingent Assignments (Option C) Contingent recruitment incurs a higher fee and includes a 12-week replacement guarantee. No exclusivity is required, but service priority may be lower than retained or exclusive assignments.

 

  1. Replacement Guarantee – Permanent Roles

If a Candidate placed in a permanent role resigns or is terminated within the first three (3) months, Talentify Partners will provide one (1) replacement, provided that:

The Client paid the original invoice in full and on time;

The role, duties, or conditions have not changed;

The termination was not due to redundancy, restructuring, redeployment, or a substantiated grievance;

Talentify Partners is granted exclusive rights for eight (8) weeks to source the replacement.

If a replacement is not secured within two (2) months, Talentify Partners may issue a discretionary credit note valid for twelve (12) months. The credit note applies to the recruitment of the same position. No guarantee applies where the Candidate was previously engaged as a contractor, temporary employee, or where a guarantee has already been used.

Please note the credit is only redeemable against Talentify Partners’ services and within twelve (12) months of the Candidate’s last date of employment and may not be redeemed for cash or other value.

 

  1. Fixed-Term Placements

For fixed-term contracts, a pro-rata placement fee applies based on the length of the contract relative to a twelve (12) month period.

Example: A six (6)-month contract will attract 50% of the permanent placement fee.

Minimum charge: $4,000 exclusive of GST applies to all fixed-term placements.

Conversion to permanent status shall incur the balance of the applicable permanent placement fee.

Extensions to the contract will trigger additional pro-rata invoicing.

Note that the replacement guarantee does not apply to any fixed-term contracts/assignments or fixed-term Candidates subsequently employed on a permanent basis following a fixed-term assignment.

 

  1. Retained & Executive Search Assignments

Where the Client engages Talentify Partners on a retained or executive search basis, the following applies:

A non-refundable commitment fee (e.g. 30% of the estimated total fee) is invoiced upon execution and engagement of the agreement;

The remainder of the fee is invoiced upon the Candidate’s commencement;

Payment of the upfront instalment is required for Talentify Partners to commence work.

 

  1. Temporary & Contractor Placements

Temporary services are provided under a written agreement specifying applicable fees, inclusive of statutory costs such as superannuation, payroll tax and insurance.

Candidates can be provided by us to you in the form of temporary recruitment for a particular temporary assignment. The fees associated with any temporary assignment shall be agreed in writing before the commencement of any temporary assignment.

For all temporary and contractor placements:

The Client will be invoiced for hours worked, at the agreed rate;

Minimum booking: four (4) hours per day;

Invoices are issued weekly and payable within seven (7) days;

Talentify Partners manages payroll, tax, superannuation, insurance, and award compliance.

 

The Client agrees to:

Directly supervise and manage the temporary contractor/employee performance and outcomes, including any necessary inductions and training;

Take full responsibility for the health and safety of the temporary contractor/employee whilst working under the assignment;

Notify Talentify Partners of any incidents, risks, or injuries involving the Candidate;

Ensure Candidates have the required training, PPE, and site inductions;

Provide eight (8) hours’ notice for cancellations or postponements.

Talentify Partners reserves the right to adjust rates to reflect CPI, award changes, or statutory obligations.

 

  1. Temporary to Permanent Conversions

If a Candidate engaged on a temporary or contractor basis is offered a permanent role (directly or indirectly) by the Client within twelve (12) months of their last assignment, the Client will be charged a permanent placement fee.

Additionally, if a previously engaged temporary contractor/employee is introduced to another business division, subsidiary, or third party of the Client and this results in an engagement (temporary assignment, fixed-term placement, permanent placement), a fee will be payable by the Client in accordance with the table below:

Note that the replacement guarantee does not apply to any temporary assignments or contractor agreements where the Candidate is subsequently employed on a permanent basis following a temporary assignment.

 

  1. Candidate Ownership & Referrals

Talentify Partners retains ownership of all Candidates introduced for twelve (12) months from the date of initial introduction. If a Candidate is:

Referred by the Client to another employer; or

Engaged in any capacity by a third party as a result of the Client’s actions,

the Client remains liable for the full placement fee.

 

  1. Confidentiality & Privacy

All Candidate information is confidential and must not be shared with any third party without written consent from Talentify Partners. The Client agrees to comply with all relevant Australian privacy, data protection, and employment laws.

 

  1. Liability & Indemnity

Talentify Partners is not liable for loss or damage resulting from a Candidate’s engagement or performance;

Liability (if applicable) is capped at 100% of the fee paid in relation to the affected placement;

Neither party shall be liable for indirect or consequential losses;

The Client agrees to indemnify Talentify Partners against claims arising from the conduct of Candidates under the Client’s supervision.

 

 

  1. Workplace Health & Safety (WHS)

Under WHS legislation, Talentify Partners and the Client share responsibilities to ensure the safety of temporary and contract staff. The Client agrees to:

Provide a safe work environment;

Ensure all risks are identified and managed;

Inform Talentify Partners of any site changes or hazards;

Not permit unqualified or untrained staff to undertake hazardous work;

Report all incidents to Talentify Partners immediately.

Failure to uphold WHS responsibilities may result in liability for penalties or damages.

 

  1. General Conditions

Candidates employed on a permanent or fixed-term basis become employees of the Client. The Client assumes full responsibility for compliance with employment law and entitlements;

Talentify Partners makes no representations or warranties as to the accuracy of Candidate information, including qualifications, health, and suitability;

All fees are exclusive of GST;

The Client is responsible for all visa sponsorship obligations;

Talentify Partners shall not be liable for losses arising from:

Candidate performance;

Errors in third-party information;

Candidate refusal to accept an offer;

Injury or damage caused by the Candidate;

Candidate misconduct, negligence, or omissions;

Talentify Partners is not acting as the Client’s employee or contractor but is supplying Candidates as requested;

The Client acknowledges and agrees that Talentify Partners is not performing the services required of the Client’s own employees or independent contractors, but is supplying temporary or contract staff at the Client’s request.

 

  1. Acceptance of Terms

These Terms are deemed accepted upon:

Requesting or receiving Candidate introductions;

Interviewing or hiring a Candidate introduced by Talentify Partners.
